Approval of Shareholders for issuance upto 26,36,50,000/- (Twenty Six Crores Thirty Six Lakhs Fifty Thousand only) Convertible warrants on Preferential Basis. <br><br>2. Issuance upto 200,00,00,000 (Two Hundred Crores) equity shares of Rs 10/- each through ADR / GDR / FCCB, etc.<br><br>3. Increase in Authorised Share capital of the Company from Rs 2000 crores to Rs 3500 crores and altering Clause V of the Memorandum of Association of the Company. <br><br>4. Substitution of existing Article 3(a) of the Articles of Association will new Article 3(a) for increase in the Authorised Share capital.<br><br>5. Telecommunication infrastructure company GTL Infrastructure Ltd plans to spend $450-600 million annually for the next three years on setting up telecom towers.<br><br>By the end of 2010-11, the company expects to spend close to $1.8 billion, a company official, who did not wish to be named, said on the sidelines of an investor conference.<br><br>The funds required have already been tied up through a combination of rights issue, overseas convertible bonds, warrants and a line of credit from a consortium of 15 banks, the official said. <br><br>So far this fiscal year, the company has spent around $500 million, he added. <br><br>"This spend is besides what we are looking to invest in inorganic growth opportunities," he said. <br><br>Recently, GTL Infra tied up with IDFC Project Equity Co Ltd to form a special purpose vehicle to pursue acquisitions in the telecom towers space.<br><br>"We are looking at acquisition opportunities or picking up a stake in tower firms which the service providers are de-merging, but only if the valuation is right," the official said.<br>The company has a target to set up 25,000 towers across the country in three years. <br><br>This year, it expects to end up with 6,700 towers and then add 6,000-8,000 towers every year.<br><br>Passive infrastructure such as telecom towers are cell sites that are essential for wireless communication. Companies such as GTL set up these towers and then lease them out to telecom service providers on a shared basis. <br><br>Sharing of towers brings down the cost for the operators in terms of savings in capital and operational expenditure by 15-30%.<br>

Shares of GTL Infrastructure rose 7.72% to Rs 101.85 on Tuesday<br>on the BSE.The company has announced that it signed a pact <br>with IDFC Project Equity Co Ltd to form a SPV that shall address<br>tower infrastructure acquisition opportunities.Over 1.50 crores <br>shares were traded on the counter in BSE.

GTL Infra is consolidating at Rs 99 after hitting a (life time) high of Rs 106.<br>This has been the feature of this scrip all along.It rises for 15-30 % and consolidates for few days <br>with falling much in % terms.<br>Fresh buy call may be generated in coming days again,then would be posting again,till then its cooling off-NOT EXCESS SPECULATIVE TILL NOW IN THIS STOCK I FEEL.<br>

GTL Infrastructure (GIL), a subsidiary of telecom network major GTL, has acquired Essar Group's tower company Essar Telecom Infrastructure (ETIPL) for an estimated $1.5 billion (Rs 6,000 crore), according to sources. <br> <br>The deal, expected to be announced next week, will help GIL increase its tower presence by 50 per cent and consolidate its position as an independent infrastructure provider. <br>

Tower businesses in telecom have a great future ahead, considering the number of mobile players entering the market. Either as standalones or as M&A possibilities. GTL Infra is a stock that one should accumulate on a decline. By 2 years, this market will become explosive. It's a straight business, no complications, and is the real backbone of the wireless telecom market, besides location of switches and hubs.<br><br>My personal view of GTL is Rs 125-130 based on pure business growths.<br>
